TERMS AND CONDITIONS
The following terms and conditions constitute a legal agreement between the Impact Business Traits and Efficiency Training Institute FZ-LLC hereafter known as "IBTE", and the student, including those considering enrollment. By agreeing to the admission offer from IBTE, you fully consent to these conditions. This agreement, combined with the admission details, the institute's established guidelines, rules, policies, procedures, and the most recent prospectus (where applicable), defines the relationship between the student and IBTE concerning their academic journey at IBTE. This agreement persists, subject to any amendments made as outlined in this clause.
IBTE retains the authority to modify or amend this contract. Any changes initiated by IBTE will be posted on the student portal, emailed, or displayed on the IBTE website. You are advised to review these platforms regularly. We commit to informing affected students about these alterations in a timely and reasonable manner.
Certain IBTE programs might necessitate students to adhere to the terms and conditions set by qualification providers, professional organizations, or third-party entities (such as NCC Education, Pearson, or other third-party bodies). Specifics of these prerequisites can be found in the program information section of the prospectus. By accepting these terms and conditions, you also commit to complying with the conditions laid out by any applicable qualification providers, professional bodies, or third parties. Once you consent to these terms, you will be deemed enrolled in the designated IBTE educational program.
Your admission will be confirmed once we receive your fully completed student application form, signed terms and conditions, and all other necessary documentation, as indicated in the application form checklist. You can acknowledge acceptance either in person or electronically via the online application on the IBTE website. Should you fail to submit all essential documents within the timeframe set by IBTE, your admission may be revoked by IBTE. Please be aware that in such instances, any registration fees, tuition, or other charges paid to IBTE will not be refunded.
IBTE reserves the right to revoke a student's admission if they do not pay tuition fees, registration fees, reactivation fees, or any other charges that may be introduced over time, by the stipulated due date. Additionally, if a student doesn't provide the necessary documents specified in the IBTE student application letter by the declared deadline or is unreachable at the provided email and phone number without prior notice, IBTE has the authority to suspend or cancel the student's admission.
While fees are billed annually, IBTE allows students, for their convenience, to pay in monthly installments up until the final year. Typically, there are no refunds for tuition fees, service charges, registration fees, and other related costs, unless there's a specific exception backed by a written and signed confirmation from the chief executive officer and IBTE shareholders. The criteria and processes for refunds can be found in sections (4.3), (5.1) and (5.2), per the IBTE refund guidelines.
For avoidance of doubts, IBTE's tuition fees and other related charges do not include VAT or any third-party fees (such as those from qualification providers, government charges, or any other third-party fees that might arise). The student acknowledges that they are responsible for paying any fees introduced by third-party providers promptly. IBTE will notify and request these additional fees as and when they are due for payment.
Admission
1.1 In the process of admission, it is Student’s responsibility to ensure that all the documents and information provided by the student to IBTE is true and accurate.
1.2 If it is discovered that Student application contains incorrect, incomplete or fraudulent information, there is a re-assessment of student fee status or significant information has been omitted from the student application form, IBTE may withdraw or amend Student Admission, or terminate Student registration at IBTE, according to the circumstances and also can take the action against the document and information provider.
1.3 If Student has not fulfilled all conditions of Admission before the date notified or the last date to Student Admission or any other date notified to you, IBTE reserves the right to withdraw Student Admission or defer Student application to the next year of entry.
1.4 Fees, registration charges, tuition fees or any other service charges are Non-refundable:
· If Admission form (Student application form) is signed and processed to IBTE either in person or electronically on IBTE website
· If Enrolment Number is issued
· If Fee paid after getting the enrolment number
· Instalment & Pending fee of old course is non-refundable.
· All fees are calculated excluding any VAT amounts.
1.5 At the discretion of IBTE, students may need to furnish credible proof of their qualifications (only documents in Arabic or English will be accepted) prior to admission. Inability to present satisfactory documentation may lead to the cancellation of the student's admission, withdrawal of their registration with IBTE, and termination of the contract, all at the sole decision of IBTE.
Conditions of Admission
2.1 Student should also note that Student progression on Student program and Student final award are not guaranteed and are dependent upon student’s examination performance.
2.2 Should a student fail to pay the registration or reactivation fees as specified in the attached terms and conditions or the invoice provided by IBTE, they will be withdrawn without any further warning. Hence, it's imperative to ensure funds for tuition, registration, and any other relevant fees are available before applying to IBTE. To clarify, any payments made by the student will be considered as deductions from the total fees they owe to IBTE.
2.3 For avoidance of doubts, if a student chooses to pay IBTE in monthly or quarterly installments, the student acknowledges, guarantees, and affirms their commitment to pay the full tuition fees for the entire academic years (encompassing terms 1, 2, and 3) and for the subsequent years/levels irrespective of whether they continue with their studies or not.
2.4 IBTE holds no liability for decisions made regarding a student's admission application. Should IBTE reject the student's admission or discover any misinformation or falsified documents provided by the student, IBTE is not obligated to refund any fees. IBTE may take up to a year to finalize the process and provide updates on its status.
Fees Terms
3.1 The fees are subject to adjustment, if applicable, based on the Tuition Fee Policy's terms. The fees are broken down into four components: Registration fees, Tuition fees, Examination fees, and other charges. When considering an increase in tuition fees, IBTE will account for factors like inflation, regulatory policies, and other external factors beyond IBTE's control.
3.2 You won't be entitled to your student transcript or level certificate unless all tuition fees and other charges are settled in full, or you enter into a special agreement with IBTE's consent to address the remaining fees, be it via cheque or another method. The responsibility for covering the tuition fees is yours. Furthermore, to finalize your admission at IBTE, you are required to pay the registration fees. In every situation, after securing your position and accepting these terms and conditions, you're bound to clear any due fees in full.
3.3 As a student, you are responsible for the payment of all tuition fees. Multiple payment methods are provided, as mentioned in your letter or email. For additional details, please refer to the IBTE website or contact the finance office.
3.4 IBTE may pursue legal proceedings in relation to non-payment of fees.
Tuition Fees in Relation to IBTE
4.1 Definitions:
4.1.1 Tuition fees at IBTE represent the financial obligations students undertake in exchange for access to the institution's academic programs and teachings. These charges encompass the expenses related to the educational curriculum, utilization of campus facilities, and other vital services and resources made available by IBTE to ensure a comprehensive learning experience.
4.1.2 Registration fees, often an essential component of academic institutions' payment structures, are the charges students pay to secure their place in a chosen program or course. These fees typically cover administrative costs associated with processing applications, maintaining academic records, and ensuring a student's spot in the institution. Unlike tuition fees, which relate directly to instructional costs, registration fees address the overhead and procedural aspects of enrolment.
4.1.3 Activation fees or IBTE portal activation fees refer to the specific charges students are required to pay to gain access to the IBTE's online student portal. This portal serves as a centralized platform where students can manage their academic records, access course materials, communicate with faculty, and utilize other essential digital resources. The activation fee helps support the technological infrastructure, maintenance, and regular updates that ensure the portal's smooth operation and security.
4.2 All tuition, registration fees, or any other relevant charges should be settled 4 weeks before commencing a course with IBTE. If you choose a monthly installment plan, you acknowledge and affirm that IBTE reserves the right to cancel this arrangement and demand full payment immediately upon sending their final invoice. It is recognized that the monthly installment is merely a facility to aid students in covering their annual academic fees, which ideally should be paid upfront.
4.3 The registration fees refer to the charges associated with enrolling a student in a specified educational course/program and are distinct from the tuition fees per clause (4.1.2). These fees are typically set at a maximum of 2,000 AED (Two Thousand Emirati Dirhams). It's essential to note that the registration fees will not be considered as part of the total tuition fees of 24,000 AED. Should a student decide to delay the payment of these fees, it must be settled by the start of their educational course/program; otherwise, their admission will be revoked. Once paid, these registration fees are non-refundable.
4.4 Upon enrolling at IBTE, students are slated for automatic progression through levels. As an example, a level 3 enrollee will transition to levels 4 and 5 by default, and similarly, a level 4 enrollee will advance to level 5. Each level incurs a tuition fee of 24,000 AED (Twenty-Four Thousand Emirati Dirhams). There's also an annual 2,000 AED (Two Thousand Emirati Dirhams) portal activation fee for accessing the IBTE student portal. This portal fee is waived in the first year if upfront registration payments are made. To ensure understanding, students have the option to stop this automatic progression only with a formal, signed agreement from IBTE. Should a student depart from IBTE without settling the total fees for all the levels they have participated in, IBTE reserves the right to dispatch an invoice demanding payment for the complete outstanding balance, encompassing all the levels the student was enrolled in.
4.5 If the student chooses to pay their tuition fees upfront before beginning their studies at IBTE, the total amount will be reduced to 20,000 AED (twenty thousand Emirati dirhams).
4.6 The tuition fee of 24,000 AED (twenty-four thousand Emirati Dirhams) covers one academic year or a single level, exemplified as (only level 3), (only level 4), or (only level 5). Upon enrolling at IBTE, students are obligated to pay the complete tuition for the specific level they've enrolled in, as well as for any subsequent levels.
4.7 If a student wishes to pay their tuition fees through monthly instalments, they must first obtain a written approval from either the finance or admissions office. Once approved, the student is bound to the total tuition fee of 24,000 AED (Twenty-Four Thousand Emirati Dirhams). These instalments will be structured to span from the commencement of the academic term through to its conclusion at the end of the academic year as well as for any subsequent levels. To eliminate any ambiguities and ensure mutual understanding, both the student and IBTE concur on the following terms:
· Payments should be made upfront at the start of each month as detailed in the table below.
· Should the student miss a payment deadline, IBTE reserves the right to cancel the student's admission and discontinue their studies. At this point, all previously paid tuition and registration fees become non-refundable. To recommence their studies at IBTE, the student will need to pay a reactivation fee within one month.
· It is mutually understood and agreed upon by both the student and IBTE that there will be a one-month grace period following the date of the last expected instalment. If the student fails to make the necessary payment within this timeframe, IBTE has the right to cancel their admission. Following such action, the student will lose their enrollment status at IBTE and will not be entitled to a refund for tuition or any other associated fees that have been previously paid.
· Should the student face termination or have their admission revoked by IBTE, they will be required to settle the registration fees, re-assessment fees, reactivation fees, and any other relevant charges before being reconsidered for re-enrollment in IBTE. This option will be available for a duration of 1 month from the time of their payment lapse.
· If the student doesn't meet their financial obligations in a timely manner, this could have serious academic consequences. In particular, the student may lose out on their entire academic year or the specific level they're studying at IBTE.
· When a student's enrollment at IBTE is terminated due to unsettled fees, re-entry is not a given. To be considered for re-admission, the student must first clear all overdue amounts and also provide a reregistration fee of 2,000 AED. The time-frame for this potential re-admission is strict, giving students a definitive one-month period from the date of their original dismissal by IBTE.
· Both IBTE and the student have mutually established that, in the event of a payment default by the student, IBTE retains the authority to withhold the student's academic records from their associated qualification provider, whether that's NCC Education or another third-party educational entity. The implications of such a failure are profound: the student would lose essential entitlements, such as access to certifications, qualifications, and transcripts. Additionally, it's crucial to differentiate between the fees: those for qualification providers (like NCC Education or equivalent organizations) stand apart from IBTE's tuition costs. Students are responsible for these provider fees and must address them independently, while the delineated tuition amounts are exclusive dues to IBTE.
· The student clearly acknowledges that even when opting for monthly installments, they remain committed to paying the entire tuition of 24,000 AED to IBTE, irrespective of their decision to continue or discontinue their studies. In instances of delayed or missed payments, IBTE holds the authority to embark on legal actions and additionally, seek damages and compensations for any breaches. By their enrollment, the student confirms their understanding and acceptance of these terms and the potential repercussions of not adhering to them.

Fees / Refunds
5.1 In special circumstances, when a student submits a refund application consistent with IBTE's tuition fee policy, tuition fees might be refunded upon withdrawal from a program, provided there's a written approval from IBTE. The following outlines some conditions under which a student may be eligible for a refund, as detailed in the table and accompanying instructions provided below. Nonetheless, IBTE retains the discretion to modify these refund policies occasionally without prior notice to students:

5.2 Should you have questions or concerns about fee payments or need more details about tuition fees (including the process for refunds), kindly reach out to the Finance Department. Please submit all original receipts along with a statement detailing the reason for non-payment or refund request. Any refundable amount, after service charge deductions, can be collected from the Finance Department.
Other Fees/Charges
6.1 Students acknowledge and confirm that the costs associated with studying at IBTE extend beyond the standard tuition, registration, and activation fees. As they progress in their academic journey at IBTE, they may encounter additional charges. Among these are qualification fees determined by third-party service providers, for instance, NCC education. The specific qualification entity chosen depends on its alignment with the course or program a student is undertaking. Furthermore, based on individual student requirements or the nature of services availed, other fees might be applicable. These details are further clarified in the upcoming sections. For a comprehensive understanding of potential out-of-pocket expenses, students can approach IBTE or the corresponding third-party educational provider. It's also noteworthy that certain courses might have added costs, such as for course materials, books, courier services, attestation procedures, and other customized documentation. For an in-depth breakdown of these costs, students are encouraged to reach out to the IBTE admissions or finance team.
6.2 When students desire to apply for a student visa, they are required to either pay 70% of their dues upfront or provide a cheque as a guarantee for such payment. IBTE will not initiate the visa application process until these dues are settled in advance. To clarify further, all third-party fees, which might include charges from entities like Tecom, government visa processing, or any unforeseen fees that may arise, are the sole responsibility of the student. Should the student fail to cover these payments, IBTE is exempt from any associated obligations.
6.3 Charges for examinations are determined separately from other fees. These exam fees can range between 250 AED to 1,000 AED per subject. The specific fee within this range for each exam is at the discretion of IBTE, based on various factors like the nature of the examination, resources required, and any associated administrative costs. This means that depending on the exam or the circumstances, IBTE will decide the exact amount to charge within the provided range.
6.4 Should a student fail to achieve the mandated minimum attendance of 80% for a particular subject or module, even if their overall attendance across other subjects remains satisfactory, IBTE may require the student to re-take that specific subject or module in the subsequent term. This decision lies solely at IBTE's discretion. In such instances, to offset the additional expenses incurred in facilitating repeat instruction for that subject/module, IBTE is entitled to levy an additional charge, ranging between 5,000 AED and 10,000 AED. The exact amount is determined by the nature and intricacies of the subject/module in question. It's important to clarify that these charges primarily cater to the extra operational costs involved in re-teaching the content. Moreover, if a student consistently falls below the 80% attendance benchmark for each enrolled subject or module, IBTE retains the unequivocal right to terminate their entire admission.
6.5 In every scenario, the student expressly acknowledges and agrees to uphold a consistent attendance record at IBTE, ensuring that they achieve a minimum of 80% attendance throughout the academic year they are enrolled in. This percentage serves as a foundational standard that measures their commitment and participation over the entirety of the academic year in question. If the student fails to meet this requirement, IBTE reserves the right to cancel their admission and mandate that the student settle the full payment for the entire academic year.
6.5 IBTE may pursue legal proceedings against you if you are in debt to IBTE or may disclose information about you to credit reference agencies or other credit assessment, debt tracing or fraud prevention organisations. In addition, if you are in debt to IBTE (whether for tuition or other fees) IBTE will report this for third party providers or associates such as affiliate universities and you may be recorded as a debtor of the University you are applying for in any references requested from the University and any qualification or demand to study abroad will be rejected.
6.6 IBTE has established a set of charges for various items, as detailed in the table below. Students are obligated to pay these fees if they are deemed applicable to their situation or requirements :

Student Cancellation Rights
7.1 If you accept IBTE's admission through remote methods (meaning there hasn't been any direct, in-person interaction between IBTE and you when you electronically confirm the admission), you relinquish any legal right to cancel this agreement later on.
7.2 In order to initiate the cancellation of this agreement, you are required to formally inform IBTE in writing. This written notification must be personally delivered to the IBTE Student Affairs office, which is situated in Building Number 10, Office 803, in Dubai Academic City, and duly acknowledged with a receipt by the said office. Alternatively, you may also send this written notification via email to ceo@ibte.me. For clarity, you can fulfill this by filling out the designated cancellation form and forwarding it to the Institute’s Student Affairs office. It's essential to secure written confirmation from IBTE regarding your cancellation, as the agreement's termination cannot be executed solely based on your declaration. Moreover, it's pivotal to note that, upon cancellation, you remain obligated to settle any unpaid tuition fees or any other relevant charges for the entire academic year and any subsequent levels you might have registered for.
7.3 Students have the choice to end the contract either before or during their studies, but only if they get written approval from IBTE. It's important to note that if they cancel after their program has begun, they won't get a refund for any fees they've already paid, like tuition or registration fees. Moreover, IBTE will still expect students to pay any remaining fees for the current academic year and for any other levels they've signed up for.
Changes to Student Program:
8.1 Under the specific conditions outlined in clauses (8.2), (8.3), and (8.4), IBTE reserves the right to modify its educational program or the anticipated degree without requiring the student's consent
8.2 IBTE possesses the authority to make the following changes:
8.3 Where the changes referred to in Clause 8.2 are not significant (that is, where they lead to changes to individual elements of a program but do not lead to a substantive change in the overall content or method of delivery of a program), IBTE will communicate the changes through routine publications (for example, the latest version of the Degree Regulations and Programmes of Studies publication). If you would like to study a particular course (module) as part of Student program of study, you should consult with IBTE Admissions the program in advance of accepting Student Admission to confirm whether the course (module) will be available to you.
8.4 Should there be an unexpected circumstance where IBTE either (i) discontinues or fails to offer the intended program of study for the student, or (ii) undergoes major alterations to the program's content, its method of delivery, or its assessment criteria in a way that the main objectives and end-results of the student's program change drastically, the following measures will be taken:
Complaints Procedure
9.1 Should you have concerns or issues with IBTE, please follow the established IBTE complaints procedure. This process is designed to address and resolve your concerns promptly, fairly, and amicably:
9.1.1 Informal Resolution:
Step 1: Before lodging a formal complaint, students are encouraged to discuss the issue informally with the concerned faculty member, department head, or relevant staff.
Step 2: If the issue is not resolved, the student can approach the Student Affairs Office for further assistance and mediation.
9.1.2 Formal Resolution:
Step 1: Submission
· Students should fill out a Complaint Application Form detailing the nature of the complaint, any relevant dates and individuals involved, and any evidence or documentation.
· This form should be submitted to the Student Affairs Office within 30 days. For proper submission, please send the form via email to both complaint@ibte.me and ceo@ibte.me. Ensure you adhere to this timeframe and send to the specified email addresses to facilitate a smooth resolution process.
Step 2: Acknowledgment
· The Student Affairs Office will send an acknowledgment of receipt to the student within 60 working days.
Step 3: Investigation
· A designated committee or individual will investigate the complaint, which may involve interviewing involved parties and reviewing relevant documentation.
· The student may be invited to a meeting to discuss the complaint in detail.
· Confidentiality will be maintained throughout the investigation process.
Step 4: Decision
· The student will receive a written response detailing the outcome of the investigation, the reason for the decision, and any actions taken as a result.
· This response will be provided within 120 days from the date of the complaint submission.
9.1.3 Appeal Process:
· If the student is dissatisfied with the outcome of the formal complaint, they have the right to appeal the decision.
· Appeals must be lodged within 15 days after receiving the formal response.
· The appeal will be reviewed by a higher authority or an independent committee, and the student will be informed of the final decision in writing.
9.1.4 External Review:
Students considering escalating their concerns to external regulatory bodies or qualification providers after the internal appeal process at IBTE should be fully aware of the consequences. They cannot contest the internal appeal's decision externally. If they choose for such escalation, IBTE reserves the right to both terminate their admission and withhold any certificates or transcripts for their current level of study. Moreover, any actions that tarnish or negatively impact IBTE's reputation with third parties will be met with legal recourse, as the institute may seek compensation for any damages or losses incurred. Students are advised to understand these implications thoroughly before proceeding with external measures.
9.1.5 Record Keeping:
· IBTE will maintain a record of all formal complaints and their outcomes to ensure transparency and to facilitate continuous improvement.
9.2 All communications related to addressing complaints must strictly adhere to the procedures outlined in the above clauses. Any deviation from this established process, including directly lodging complaints to regulatory bodies, our associated affiliates, partners, or our qualification providers without adhering to the stated procedures, will be deemed a material breach of this agreement. In the event of such a breach, IBTE reserves the right to:
· Seek unlimited damages to account for the harm caused by such actions.
· Initiate legal action to claim compensation for damages arising out of the breach.
· Terminate the student's admission and hold back any transcripts or certificates pertaining to their current level of study.
9.3 Both the student and IBTE acknowledge that the designated email addresses, complaint@ibte.me and ceo@ibte.me, are the official channels of communication for any complaints. IBTE emphasizes the importance of using only these specified email addresses to ensure prompt and proper acknowledgment. Any complaints sent to other addresses may not receive the appropriate attention, and IBTE will not bear responsibility for any miscommunication or delays arising from not adhering to this directive.
Liability
10.1 IBTE shall not be liable for failure to perform any obligations under the Contract if such failure is caused by any act or event beyond the IBTE's reasonable control including acts of God, war, terrorism, industrial disputes, pandemic, governments or authorities acts and new regulation (including disputes involving the IBTE's employees), fire, flood, storm and national emergencies ("Force Majeure Event"). If IBTE is the subject of a Force Majeure Event, it will take all reasonable steps to minimise the disruption to Student studies.
10.2 IBTE will not be liable under any circumstances for any failure to provide services whatsoever if that failure is caused directly or indirectly by industrial action or by circumstances beyond the IBTE’s control.
10.3 Any damage caused by a student to IBTE property, to the property or to a residence, whether intentional or accidental will be charged to the students responsible. Students in residential accommodation are jointly and severally liable for shared facilities and IBTE reserves the right to recover costs for damage and exceptional cleaning.
10.4 The student assumes full responsibility for any involvement in fraudulent events or cheating, including but not limited to plagiarism, falsification of documents, or academic dishonesty. In such cases, Impact Business Traits and Efficiency Training Institute FZ-LLC (IBTE) reserves the right to impose disciplinary actions, ranging from academic penalties to expulsion, and the student will bear the financial, legal, and reputational consequences. By enrolling at IBTE, the student agrees to comply with the institute's policies on academic integrity and acknowledges their personal liability for any misconduct. Upholding academic honesty and ethical conduct is the student's responsibility throughout their studies.
10.5 Academic Integrity and Prohibition of Cheating Clause: By signing this document, the student acknowledges that they have read, understood, and agreed to abide by the terms set forth in this Academic Integrity and Prohibition of Cheating Clause.
10.6 By enrolling at IBTE, the student acknowledges their obligation to promptly report any incidents or suspicions of cheating, be it by fellow students or IBTE staff members, to the appropriate institutional authorities. The student also agrees to provide full cooperation during any subsequent investigations, including but not limited to, providing evidence, testimonies, or participating as a witness if required by IBTE or any external authorities. Failure to report or cooperate in cases of suspected cheating may be considered a breach of this agreement and may subject the student to disciplinary actions by IBTE.
IBTE Right of Termination
11.1 IBTE reserves the right to terminate your enrollment, either within IBTE or at our affiliated overseas institutions, should you consistently fail to fulfill your academic obligations to a degree that suggests improbable progression to the subsequent phase of your program. It is imperative to understand that, as outlined in Clause 11.2, failure to matriculate will result in the termination of this contractual relationship and the subsequent deletion of your student academic profile
11.2 IBTE expressly retains the authority to bar your participation or entry, be it within the confines of IBTE or at our affiliated overseas universities. Grounds for such exclusion encompass disciplinary violations, failure to matriculate, outstanding tuition fee liabilities, subpar attendance, or unsatisfactory performance within your academic program. All such actions will be executed in strict adherence to the established IBTE guidelines, policies, and procedural protocols.
11.3 IBTE reserves the exclusive right to terminate this agreement with the student at its sole discretion and for any reason, without requiring the student's consent. Such termination will take effect immediately, provided that IBTE delivers a written notice to the student at least 30 days prior to the intended termination date. Any fees paid by the student up to the date of termination shall be non-refundable. The student acknowledges and agrees to this provision, understanding that upon receipt of the termination notice, the agreement will be deemed null and void after the specified 30-day period.
Qualification
12.1 Student fully understand that qualifications are provided by third party qualification provider (such as NCC Education which is regulated by OFQUAL UK) or any other qualification provider.
12.2 The student confirms and acknowledge that IBTE provides qualifications through collaborations with third-party associates, such as NCC or other entities chosen by IBTE, primarily focusing on Level 3, Level 4, and Level 5 qualifications.
12.3 The student clearly understands and acknowledges that the courses and qualifications provided by IBTE are not overseen or regulated by the Commission of Academic Accreditation or the Ministry of Education in the UAE. Instead, IBTE operates under the purview of the Knowledge and Human Development Authority (KHDA). Additionally, the qualifications that IBTE offers are in alignment with and are regulated by Ofqual.
12.4 Should the student have any inquiries or uncertainties, it is advised to directly contact the relevant regulating authorities. For matters related to IBTE's operations within the UAE, reach out to the Knowledge and Human Development Authority (KHDA) via their contact page: https://web.khda.gov.ae/en/Contact-Us. For queries concerning the qualifications offered by IBTE, Ofqual can be contacted at: public.enquiries@ofqual.gov.uk.
12.5 The student hereby acknowledges and agrees that they are fully informed of IBTE's method of delivering qualifications. The student covenants not to feign ignorance or misrepresent their understanding of this methodology as a means to lodge complaints to any regulatory authority with the intention of tarnishing IBTE's reputation. Furthermore, any attempt by the student or their guardians to exploit such pretenses for the purpose of extorting refunds, manipulating IBTE actions, or any other means contrary to IBTE's interests, will be seen as a direct violation of this agreement. In the event of such contraventions, IBTE reserves the unequivocal right to initiate legal proceedings against the student or their guardians and to seek unlimited compensation for any damages or losses sustained.
Academic Accountability and Document Release Terms:
12.1 The student hereby acknowledges that their academic progression at IBTE is solely their responsibility. IBTE provides the necessary tools, resources, and framework for learning; however, the onus of adopting and adapting to the institute's learning approach rests with the student. It is incumbent upon the student to diligently pursue their studies, attend sessions, and actively engage in the academic process. Failure to embrace and commit to the prescribed learning approach may result in unsatisfactory academic performance or failure in assessments. Furthermore, consistent neglect or inability to align with the institute's educational standards may lead to the termination of the student's admission at IBTE. By enrolling, the student understands and agrees to these terms, absolving IBTE of any liability regarding their academic progression.
12.2 IBTE reserves the unequivocal right to withhold any and all certificates, transcripts, or qualifications pertaining to the student, whether issued by IBTE or third-party qualification providers such as NCC or any other associated entities. The release of said documents will be contingent upon the student's complete settlement of tuition fees for their current academic level, any prior levels studied, and any subsequent levels they may intend to pursue at IBTE. This includes any and all fees directly associated with third-party qualification providers. It is the student's responsibility to ensure that all dues relating to their academic progression, including those payable to entities like NCC or any other qualification provider via IBTE, are settled in full. Only upon receipt of such payments will IBTE consider releasing the withheld documents. By entering into this agreement, the student acknowledges and consents to these terms.
Prohibited Activities:
13.1 Non-Compete with Employees: The student hereby agrees and covenants not to directly or indirectly collaborate, partner, or cooperate with any current or former employee of IBTE, with the intent or result of replicating, mimicking, or otherwise copying IBTE's business model, for the purpose of establishing, promoting, or operating a competing entity. This prohibition extends for a period of two (2) years following the student's last engagement with IBTE. Any breach of this clause shall be deemed a material violation of this agreement, and IBTE reserves the right to seek legal remedies and compensation for any damages or losses incurred due to such actions.
13.2 Non-Solicitation of IBTE Students: The student is expressly prohibited from contacting, collaborating with, or enticing any other student(s) enrolled at IBTE with the intent or objective of encouraging, suggesting, or otherwise facilitating their departure to another educational institution. The student shall refrain from forming or instigating groups, alliances, or cooperatives, whether formal or informal, that are aimed at, or result in, the defection or transfer of any IBTE student to another educational establishment. If IBTE identifies or becomes aware of such actions or intentions on the part of the student, IBTE shall take immediate steps, including but not limited to, reporting the matter to the police, initiating a criminal case against the student, and seeking appropriate legal remedies. Furthermore, IBTE reserves the right to demand unlimited compensation for any damages, losses, or adverse effects arising from such actions by the student.
13.3 Prohibition on Employment Offers to IBTE Personnel: The student expressly agrees not to entice, solicit, or offer employment to any current or former employee of IBTE, either directly or indirectly, through any entity they own, are employed by, or are associated with. This prohibition extends to any form of professional engagement or collaboration that would result in the said employee rendering services to or on behalf of the student or the student's affiliated entities. Any violation of this clause shall be deemed a material breach of this agreement, and IBTE reserves the right to pursue all available legal remedies. This includes the right to seek unlimited compensation for any damages, losses, or adverse impacts that arise from the student's actions or violations of this clause.
13.4 Restriction on Relationships with IBTE's Affiliates and Partners : During their association with Impact Business Traits and Efficiency Training Institute FZ-LLC ("IBTE") and for a subsequent period of two (2) years after its termination or conclusion, the student agrees not to, directly or indirectly, solicit, induce, recruit, or encourage any of IBTE's current employees, contractors, or service providers to terminate their relationship with IBTE or diminish their business with it. Furthermore, the student commits not to establish any business, educational, or professional ties with IBTE's clients, customers, suppliers, or partners that might intend to, or have the effect of, diverting business from IBTE or weakening the institute's relationships with those entities.
13.5 Non-Disparagement: The student agrees and covenants that they will not, at any time during or after their association with IBTE, make, express, transmit, speak, write, verbalize, or otherwise communicate in any way (or cause, further, assist, solicit, encourage, support, or participate in any of the foregoing), any remark, comment, message, information, declaration, communication, or other statement of any kind, whether verbal, in writing, electronically transferred, or otherwise, that might reasonably be construed to be derogatory, defamatory, or critical of, or negative toward, IBTE or any of its programs, members, owner directors, officers, affiliates, subsidiaries, employees, agents, or representatives, or that reveals, discloses, incorporates, is based upon, discusses, includes, or otherwise involves any confidential or proprietary information of IBTE or its subsidiaries or affiliates, or to malign, harm, disparage, defame, or damage the reputation or good name of IBTE, its business practices, or any of its programs, members, owner directors, officers, affiliates, subsidiaries, employees, agents, or representatives.
Copyright:
14.1 All materials, including but not limited to course content, handouts, presentations, and online resources provided by Impact Business Traits and Efficiency Training Institute FZ-LLC ("IBTE") are the sole property of IBTE or its licensors. These materials are protected by international copyright, trademark, and other relevant intellectual property rights laws.
The student acknowledges and agrees that:
14.2 The student is duty-bound to immediately notify IBTE upon becoming aware or suspecting any unauthorized access, use, reproduction, or distribution of the Protected Materials. This obligation entails the reporting of any such activities, whether undertaken by the student or observed being done by third parties. In any follow-up action, whether investigative or legal, initiated by IBTE in response to these potential infringements, the student commits to extending their full cooperation and assistance.
14.3 In the event of the expiration or termination of this agreement, or upon receiving a written request from IBTE at any time, the student is obliged to:
Intellectual Property Rights of IBTE Software and Portal
15.1 This clause governs the intellectual and proprietary rights associated with the IBTE software and portal, including but not limited to source code, user interfaces, graphics, designs, algorithms, documentation, tools, and processes.
· Ownership: All rights pertaining to the IBTE software and portal remain the sole property of Impact Business Traits and Efficiency Training Institute FZ-LLC ("IBTE"). This spans copyrights, patents, trademarks, trade secrets, and any other applicable proprietary rights.
· License Grant: Users are endowed with a limited, non-exclusive license to utilize the IBTE software and portal. This license is strictly for the purposes stated in this agreement and doesn't encompass rights to modify, distribute, or reverse-engineer the software or portal.
· Confidentiality and Protection: Users pledge to prevent unauthorized dissemination, use, or replication of the IBTE software and portal. They are also bound to uphold the confidentiality of any proprietary information linked to the software and portal, refraining from sharing such details with unauthorized entities.
· Reporting Obligations: Any suspected or observed unauthorized use or breaches concerning the IBTE software or portal should be promptly reported to IBTE. Users commit to cooperating with IBTE in any actions initiated due to such reports.
· End of Agreement Duties: On concluding this agreement or at IBTE's request, users must immediately desist from accessing or using the software and portal. All stored, digital forms of the software or any of its components must be deleted or destroyed, with written confirmation provided to IBTE regarding the completion of these actions.
· Consequences of Breach: Any contravention of this clause will expose the user to potential legal action. IBTE holds the right to seek remedies including monetary compensation, injunctions, and recovery of legal fees.
· Longevity of Clause: Despite any termination or expiration of this agreement, the terms under this clause remain in effect, ensuring persistent protection of IBTE's intellectual rights.
IBTE Website Content Protection:
16.1 All content available on the IBTE website, from text and graphics to multimedia elements, is the exclusive intellectual property of Impact Business Traits and Efficiency Training Institute FZ-LLC ("IBTE"). This content is rigorously protected by copyright, trademark, and other applicable laws. While IBTE permits website visitors to access this content for their personal and informational needs, any unauthorized replication or distribution can have serious legal implications. Specifically:
Trademarks:
17.1 The student/user acknowledges and agrees that all trademarks, service marks, logos, trade names, and branding related to Impact Business Traits and Efficiency Training Institute FZ-LLC ("IBTE"), whether registered or unregistered, are the exclusive property of IBTE. Except as expressly permitted, the student/user shall not use or reproduce IBTE's Trademarks without its prior written consent. All benefits derived from the use of IBTE's Trademarks shall exclusively benefit IBTE, and the student/user shall refrain from any actions that could diminish their value or reputation. The student/user pledges not to challenge IBTE's ownership or registration of its Trademarks and shall inform IBTE of any known infringements. Any unauthorized use may result in the student/user indemnifying IBTE against all related damages, and IBTE reserves the right to seek all available remedies, including injunctive relief. This clause persists indefinitely, even upon termination of any agreement between the parties.
Data Protection and Privacy:
18.1 The student recognizes and acknowledges that "data protection and privacy" embodies the policies and procedures that IBTE implements to ensure the secure collection, storage, processing, and distribution of personal information. The student grants IBTE the authority based on the subsequent terms:
Usage of Likeness:
19.1 By enrolling in or associating with IBTE, the student grants IBTE the irrevocable right to capture, use, reproduce, and/or publish photographs, video footage, and/or audio recordings that may pertain to the student, including images, likeness, voice, or portrayal in a video.
Confidentiality:
19.1 The student/user acknowledges that during the course of their association with Impact Business Traits and Efficiency Training Institute FZ-LLC ("IBTE"), they may gain access to or be directly exposed to confidential, proprietary, or privileged information belonging to IBTE or its affiliates, clients, and partners. This information may include but is not limited to business processes, strategies, marketing plans, customer lists, financial data, research findings, software, methodologies, trade secrets, and other non-public information (collectively referred to as "Confidential Information"). The student/user hereby agrees to:
Official Communication Channel:
20.1 All official and binding communications from Impact Business Traits and Efficiency Training Institute FZ-LLC ("IBTE") to the student or any third party will solely originate from the email address ceo@ibte.me. Any communication, whether written, verbal, or electronic, that does not come directly from this specified email address shall not be considered as an official statement, commitment, or representation of IBTE.
20.2 The student acknowledges and agrees that IBTE bears no responsibility or liability for any communications or representations made through any other email addresses, phone numbers, or communication methods, even if they appear to be or are represented as being associated with IBTE. It is the responsibility of the student or recipient to verify the authenticity of any communication they receive related to IBTE, especially if it does not originate from the designated email address.
20.3 By entering into this agreement, the student confirms understanding and acceptance of these terms and agrees not to rely upon or act on any communications from sources other than the specified official email. The student and IBTE mutually concur that the sole official medium for communication and addressing student inquiries is through the registered email address: ceo@ibte.me Communications via other methods, such as WhatsApp, alternative email addresses, phone calls, or social media platforms, are not deemed official exchanges between the two parties.
General:
Severability:
Should any provision of this agreement be determined to be invalid, unlawful, or unenforceable by any competent authority, to the extent of such invalidity, unlawfulness, or unenforceability, such provision shall be deemed severable from the remaining provisions of this agreement. The severance of any individual provision will not affect the validity, lawfulness, or enforceability of the remaining provisions. The parties shall endeavor in good faith to agree upon a replacement provision that is valid, lawful, and enforceable and achieves, to the greatest extent possible, the original intent and economic effect of the severed provision.
Assignment:
The student may not assign, delegate, or transfer, either wholly or in part, any of their rights, obligations, or interests under this agreement to another party or entity without the prior written consent of IBTE. Any unauthorized assignment or transfer will be deemed null and void. IBTE reserves the right to assign its rights and obligations under this agreement at its sole discretion.
Waiver:
The failure or delay of either party to exercise or enforce any right or provision of this agreement shall not constitute a waiver of such right or provision. No single waiver will serve as an ongoing or continuous waiver of such right or provision, nor will any waiver of any particular breach or default of this agreement act as a waiver of any subsequent breach or default. The parties expressly acknowledge that any rights not expressly waived remain in full effect and may be exercised in the future, notwithstanding any prior forbearance, delay, or omission in enforcement.
Indemnification:
The student hereby agrees to indemnify, defend, and hold harmless IBTE, along with its directors, officers, employees, agents, and affiliates, from and against any and all liabilities, losses, damages, claims, penalties, fines, costs, legal fees, or other expenses of any nature, that may be incurred as a direct or indirect result of the student's breach of any term, condition, representation, or warranty contained in this agreement. The student acknowledges that the extent of damages arising from any such breach may be unlimited and the amount of indemnification will be determined by IBTE based on their assessment of the damages incurred. This obligation to defend and indemnify IBTE under this clause shall persist regardless of the termination or conclusion of the student's association with IBTE or the expiration or termination of this agreement.
Limitation of Liability:
Notwithstanding any other provision of this agreement, and to the fullest extent permissible by applicable law, the liability of IBTE, its officers, directors, employees, agents, and affiliates, for any claims, damages, losses, or expenses arising out of or in relation to the student's claims, whether arising out of contract, negligence, strict liability, or otherwise, shall in no event exceed 2,000 AED. Conversely, in the event of any breach, negligence, or violation by the student, IBTE retains the right to claim unlimited liability due to its potentially larger expenditures in handling disputes, reputation damage, operational expenses, administrative overhead, and potential disruption to its services or educational programs. IBTE shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages claimed by the student, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages. This limitation of liability is a fundamental element of the basis of the bargain between the parties and reflects the agreed allocation of risk between them.
Survival:
Certain provisions of this agreement by their nature and context are intended to survive the termination, cancellation, or expiration of this agreement. These provisions include, but are not limited to, confidentiality, non-compete, non-solicitation, return of property, remedies for breach, and any other provision which by its nature should survive. Such provisions shall remain in full force and effect and shall bind the parties until their obligations are fully satisfied.
Acknowledgment:
The student acknowledges that they have read, understood, and agree to all terms and conditions stipulated in this agreement. They further acknowledge that they have had the opportunity to seek independent legal counsel regarding this agreement, and that they are entering into this agreement voluntarily, without duress or undue influence. The student confirms their understanding that any violation of the terms herein may result in significant legal consequences.
Governing Law and Jurisdiction:
Jurisdiction In any dispute arising out of this contract, the parties expressly agree to submit to the jurisdiction of the courts of Dubai having jurisdiction in the matter in question.
Duration of Agreement:
This agreement becomes effective upon the student's registration with IBTE or upon signing these terms and conditions. It will persist throughout the student's tenure with IBTE. Moreover, the terms of this agreement will extend for 5 years beyond the student's completion of studies at IBTE or until the agreement is terminated by IBTE, whichever comes first.
Exclusive Agreement and Enforceability:
This Contract's provisions are binding solely upon the student and IBTE. It constitutes the entire and definitive agreement between the parties, superseding and nullifying all prior written or verbal understandings or agreements that may have been in place between the student and IBTE.
